The use of forward-looking statements in management commentaries in Australia

Abstract

The management commentary provides managements perspectives on issues that have impacted the companys financial performance and position. It gives management the ability to share information that is forward-looking, such as trends and events that might affect the firms capacity to create value and generate future cash flows. This includes forward-looking information about potential events and trends. Our project examines how often and what types of forward-looking statements (FLS) are disclosed in the management commentary, the factors that affect this voluntary disclosure, and the complexity of the commentary. We analysed data of the top ASX 100 firms over the sample period of 2012 - 2020 and found that nearly all firms in the sample include other forward-looking statements in their management commentary, while less than half provide forecast-like forward-looking statements. We find evidence to support the proposition that disclosure increases with uncertainty in predicting the firms earnings and the firms visibility. In examining the readability of the management commentaries, we find evidence to show that the level of forecast-like FLS is associated with reduced readability of the management commentaries but not with the length of the commentaries. Contrary to our expectations, other FLS and climate-related disclosures are not associated with less readable management commentaries but climate-related disclosures are positively associated with the length of the commentaries. We also find that the tone of the forward-looking statements affects the complexity of the disclosure, where more negative-toned FLS are associated with more difficult to read commentaries.
